2. THESE TERMS AND YOUR STATUS
2.1 What these Terms cover
These Terms & Conditions govern:
- your use of our Website
- contracts between you and us for the purchase of products through the Website

3. OUR CONTRACT WITH YOU
3.1 Placing an order
When you place an order through the Website, you are making an offer to purchase the products shown in your order. Your order will be subject to our acceptance.

3.2 Acceptance of your order
A contract between you and us will come into existence when we send you an email confirming that we have accepted your order. Your order confirmation will normally include details of the products ordered, the price, delivery information and your order number.

3.3 If we cannot accept your order
If we cannot accept your order, we will tell you and, where payment has already been taken, refund you the amount paid.
We may be unable to accept an order because, for example:
- a product is unavailable
- there is an error in the price or product description
- we cannot deliver to the address provided
- we cannot meet a delivery requirement you have specified
- there are circumstances outside our reasonable control
- we reasonably suspect that an order has been placed fraudulently or in breach of these Terms

3.4 Your order number
We will assign an order number to your order and provide it to you with your order confirmation. Please quote this number when contacting us about your order.

3.5 Age restrictions
If any product offered through the Website is subject to a statutory age restriction, you must comply with the applicable age requirements before purchasing it. We reserve the right to carry out reasonable age verification where required by law.

4. OUR PRODUCTS
4.1 Product descriptions
We take reasonable care to ensure that product descriptions, photographs, ingredients and other information displayed on the Website are accurate and up to date. However, photographs and images are for illustrative purposes and the appearance of packaging may differ from images displayed on the Website.

4.2 Product availability
Products are subject to availability. We may update product ranges, packaging and product information from time to time.

4.3 Food information
Food products supplied by us will be accompanied by the information required by applicable food information legislation. Where applicable, mandatory allergen information will be made available before you complete your purchase. You should always check the current product information and packaging before consuming a product.

If you have a food allergy or intolerance, please contact us before ordering if you require clarification about ingredients or allergens. We cannot guarantee that a product is suitable for a particular allergy or intolerance unless this is expressly stated in the relevant product information.

4.4 Storage and consumption
You must follow any storage, handling and consumption instructions supplied with the products. For frozen products, you should ensure that appropriate storage conditions are available when the products are delivered. Once products have been delivered, you are responsible for storing them in accordance with the instructions supplied.

4.5 Products requiring temperature-controlled delivery
Where products require temperature-controlled delivery, we will take reasonable steps to ensure that the products are transported using appropriate delivery arrangements.

You must ensure that someone is available to receive the delivery as this is necessary to protect the condition and safety of the products.

5. USING OUR WEBSITE
5.1 Website availability
We aim to keep the Website available and operating correctly, but we do not guarantee that the Website will always be available, uninterrupted or error-free. We may suspend, withdraw or amend parts of the Website when considered necessary for maintenance, security or operational reasons.

5.2 Intellectual property
We own, or are licensed to use, the intellectual property rights in the Website and its content, including text, photographs, graphics, logos, product descriptions and other materials, unless otherwise stated. These rights are protected by applicable intellectual property laws.

You may view, download or print extracts of Website content for your personal, non-commercial use. You must not reproduce, modify, distribute, commercially exploit or otherwise use Website content without our prior written permission, except where permitted by law.

5.3 Website misuse
You must not knowingly introduce viruses, malware, trojans, worms, logic bombs or other technologically harmful material. You must not attempt to gain unauthorised access to the Website, our servers or any connected system or database. You must not attack the Website using a denial-of-service or distributed denial-of-service attack.

5.4 Third-party websites
The Website may contain links to third-party websites. These links are provided for convenience and information only. We do not control and are not responsible for the content, availability, security or privacy practices of third-party websites.

6. CHANGES TO YOUR ORDER

If you wish to change an order after submitting it, please contact us as soon as possible via email. We will let you know whether the requested change is possible. If a change is possible, we will tell you about any resulting change to the price, delivery arrangements or other relevant terms before proceeding.

Because some of our products are food products that may be prepared, packed or dispatched promptly, it may not always be possible to make changes or cancel an order after it has entered our fulfilment process.

7. CHANGES WE MAY MAKE TO PRODUCTS
We may make reasonable changes to products where necessary:
- to comply with changes in applicable law or regulatory requirements
- to reflect changes to ingredients, packaging or production processes
- to make minor technical or operational improvements
- where a particular ingredient, packaging material or component is unavailable and an appropriate alternative is required

Where a change materially affects the product you have ordered, we will provide you with appropriate information and, where required by law, your applicable rights to cancel or obtain a refund will apply.

8. DELIVERY
8.1 Delivery charges
Delivery charges will be displayed during the ordering process before you place your order. The total price payable, including applicable delivery charges and taxes, will be shown before you submit your order.

8.2 Delivery arrangements
We will provide an estimated delivery date or delivery period during the ordering process where applicable. Where a specific delivery date or period is expressly agreed with you, we will make all realistic efforts to meet it.

8.3 Delivery delays outside our control

We are not responsible for delays caused by events outside our reasonable control. Such events may include severe weather, transport disruption, industrial disputes, supplier failure, power or network failures, government action, natural disasters or other circumstances that could not reasonably have been anticipated or prevented.

If a significant delay occurs, we will contact you as soon as reasonably possible. Your statutory rights are not affected.

8.4 Failed delivery
If nobody is available to receive a delivery of perishable goods, our delivery team may leave instructions explaining how delivery can be rearranged or how the products can be collected. Where the nature of the products means that they cannot safely be stored by the carrier, additional delivery arrangements may be necessary.

8.5 Your responsibility for delivery information
You are responsible for ensuring that the delivery address and contact information you provide are accurate. We are not responsible for additional costs or delays caused by incorrect or incomplete information supplied by you.

8.6 When responsibility passes to you
Responsibility for the goods passes to you when you, or a person you nominate other than the carrier, physically takes possession of the goods.

8.7 Ownership
Ownership of the goods passes to you when we have received payment in full.

9. CANCELLATION AND RETURNS
9.1 Consumer cancellation rights
Consumer law normally gives consumers buying goods online a 14-day right to cancel certain distance contracts without giving a reason. However, there are statutory exceptions. In particular, the statutory cancellation right does not apply to goods that are liable to deteriorate or expire rapidly. This is relevant to food products such as ice cream where the product falls within that statutory exception. Accordingly, you do not have a statutory 14-day change-of-mind cancellation right for products that are liable to deteriorate or expire rapidly. This does not affect your legal rights where products are faulty, misdescribed, unsafe or otherwise fail to comply with applicable consumer law.

9.2 Other products
If we sell a product that is not subject to a statutory cancellation exception, the applicable consumer cancellation rights will apply. Where a cancellation right applies, we will provide the required information about how to exercise it and any applicable return requirements.

9.3 Faulty or misdescribed products
If a product is faulty, damaged, unsafe or not as described, please contact us as soon as reasonably possible. Your statutory rights under the Consumer Rights Act 2015 are not affected by these Terms.

9.4 Food products and returns
For food safety and hygiene reasons, we may not be able to accept the return of food products where the product has been delivered correctly and is not faulty or misdescribed. This does not limit any legal right you may have to reject or obtain a refund for goods that do not comply with your legal rights.

9.5 How to contact us about cancellation or a problem
To cancel an eligible order or report a problem with a product, contact us:
Email: hello@s-luca.com
Post: S Luca Limited, 32–34 High Street, Musselburgh, East Lothian EH21 7AG
Please provide your name, order number, details of the products concerned and the reason for contacting us where relevant.

10. REFUNDS
10.1 When refunds are due
Where you are legally entitled to a refund, we will refund the relevant amount in accordance with applicable law.

10.2 Method of refund
Unless otherwise agreed or required by law, refunds will normally be made using the same payment method used for the original transaction.

10.3 Delivery charges
Where a consumer has a statutory right to cancel a distance contract, any refund of delivery charges will be dealt with in accordance with applicable law. Where the consumer selected a more expensive delivery method than our least expensive standard delivery option, we are generally only required to refund the cost of the least expensive standard delivery option.

10.4 Refund timing

Where applicable, statutory refund deadlines will be observed. For goods subject to a statutory cancellation right, this will normally include the requirement to make the refund within the period required by the Consumer Contracts Regulations 2013 once the relevant conditions for the refund have been satisfied.

11. OUR RIGHTS TO END THE CONTRACT
We may end or suspend a contract where permitted by law, including where:
- you do not make a payment when it is due and fail to remedy this after we have contacted you
- you do not provide information reasonably required to fulfil the order
- you provide materially incorrect delivery or contact information
- you do not allow delivery to take place within a reasonable period
- continuing to supply the products would expose us to legal, regulatory or safety risks
If we end a contract, we will refund any amounts you have paid for products that we have not supplied, subject to any lawful right we have to deduct reasonable costs arising from your breach.

12. PRODUCT QUALITY AND YOUR LEGAL RIGHTS
12.1 Consumers
We are under a legal duty to supply goods that conform to the contract. Among other requirements, goods must generally be of satisfactory quality, fit for any particular purpose made known to us and as described. Nothing in these Terms limits or excludes your statutory consumer rights.

12.2 Faulty goods
Depending on the circumstances, your statutory rights may include rights to reject faulty goods, require repair or replacement, or obtain a price reduction or refund. The precise remedy available depends on the circumstances and applicable law.

13. PRICE AND PAYMENT
13.1 Product prices
The price of each product will be the price displayed on the Website when you place your order. Unless expressly stated otherwise, displayed consumer prices include VAT where VAT is applicable. Any applicable delivery charges will be displayed separately before you place your order. We aim to ensure that all prices are accurate, but errors can occasionally occur.

13.2 Pricing errors
If we discover an error in the price of a product before your order has been accepted, we will contact you and give you the option of proceeding at the correct price or cancelling the order. If an incorrect price has resulted in an order being accepted where the applicable law does not permit us to charge the incorrect price, we will contact you and take appropriate steps to correct the error.

13.3 Payment methods
We currently accept payment methods displayed on the Website, which include:
- Visa
- Mastercard
- American Express
- Apple Pay
- Google Pay
- PayPal

Available payment methods may change from time to time.

13.4 When payment is taken
Payment arrangements will be displayed during the ordering process. For goods ordered through the Website, we may authorise payment when the order is placed and will take payment in accordance with the payment arrangements communicated to you.

13.5 Invoice disputes
If you believe an invoice is incorrect, you should notify us promptly and provide details of the disputed amount. Undisputed amounts remain payable in accordance with the agreed payment terms.

14. OUR RESPONSIBILITY FOR LOSS OR DAMAGE
14.1 Foreseeable loss
If we fail to comply with these Terms, we are responsible for loss or damage that is a foreseeable result of our breach of contract or failure to use reasonable care and skill. We are not responsible for loss or damage that is not reasonably foreseeable.

14.2 Liability that cannot be excluded
Nothing in these Terms excludes or limits liability where doing so would be unlawful. This includes liability for:
- death or personal injury caused by negligence
- fraud or fraudulent misrepresentation
- breach of your statutory consumer rights
- any other liability that cannot lawfully be excluded or restricted.

14.3 Business use by consumers
Our products are supplied through the Website for domestic and private use unless expressly stated otherwise.

15. HOW WE USE YOUR PERSONAL INFORMATION
We will use personal information you provide to us in accordance with our Privacy Policy. We may use your information where necessary to:
- process and fulfil your order
- take and process payment
- communicate with you about your order
- provide customer service
- comply with legal and regulatory obligations
- protect our Website, business and customers against fraud or misuse

Where required by law, we may disclose information to third parties such as payment providers, delivery providers, professional advisers, regulators, law-enforcement authorities or credit reference agencies. Further information about how we collect, use, store and protect personal information, together with your data protection rights, is provided in our Privacy Policy.

16. PROMOTIONS, OFFERS AND REVIEWS
16.1 Promotions
Any promotional offer will be subject to the specific terms stated with that offer. We will not use promotional pricing or other commercial practices in a misleading way. Information about products, prices, discounts and promotions will be presented clearly and accurately. Current UK consumer law prohibits unfair commercial practices and imposes requirements concerning material information and price transparency.

16.2 Reviews
Where the Website displays customer reviews, we will not knowingly publish or present fake reviews or misleading review information. Where reviews have been incentivised, this will be handled in accordance with applicable law.

17. EVENTS OUTSIDE OUR CONTROL
We will not be responsible for failure or delay in performing our obligations where this is caused by an event outside our reasonable control. Such events may include:
- severe weather
- natural disasters
- fire or flood
- transport disruption
- industrial disputes
- interruption of utilities or telecommunications
- supplier failure
- government restrictions
- public health emergencies
- other circumstances that could not reasonably have been prevented or anticipated

We will take reasonable steps to minimise the effect of any such event. Nothing in this clause affects your statutory consumer rights.

18. TRANSFERRING THIS CONTRACT
18.1 We may transfer the contract
We may transfer our rights and obligations under these Terms to another organisation, provided that this does not reduce your rights under the contract. Where required, we will notify you of such a transfer.

18.2 You may not transfer your rights
You may only transfer your rights or obligations under these Terms to another person with our written agreement, except where applicable law gives you a right to do so.

19. THIRD-PARTY RIGHTS
Unless otherwise stated, this contract is between you and us. A person who is not a party to the contract will not generally have rights to enforce any of its terms.

20. IF A COURT FINDS PART OF THESE TERMS INVALID
If any part of these Terms is found to be unlawful, invalid or unenforceable, that part will be treated as removed or modified to the minimum extent necessary, and the remaining provisions will continue in force.

21. IF WE DELAY ENFORCING THESE TERMS
If we delay in enforcing any right under these Terms, this does not mean that we have waived that right. We may enforce our rights at a later date.

22. GOVERNING LAW AND JURISDICTION
These Terms are governed by Scots law. If you live in Scotland, the Scottish courts will have jurisdiction over disputes arising from these Terms. If you live in England or Wales, you may bring proceedings in the Scottish courts or in the courts of England or Wales, as permitted by applicable law. If you live in Northern Ireland, you may bring proceedings in the Scottish courts or the courts of Northern Ireland, as permitted by applicable law.

Nothing in this clause removes any mandatory legal protection available to you under the law applicable to you.

23. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect:
- changes in law or regulation
- changes to our Website or services
- changes to our business or products
- improvements to clarity or administration

The version of the Terms in force when you place an order will normally apply to that order. We will not use a change to these Terms to remove or reduce rights you have under a contract that has already been formed.
